Participation Agreement - September 2026

Parties. In this agreement, "Vivo" means Vivo Hospitality and Property Management LLC (Florida) for properties located in the United States, and Vivo Hospitality and Property Management SRL (RNC 1-32-86679-7) for properties located in the Dominican Republic. "You" means the person or business named in the submission form who registers the referral.

1. What a referral is. A referral is a property owner you introduce to Vivo who was not already in conversation with us. You register the owner using the referral form; the submission timestamp establishes the introduction. Vivo will confirm or decline the registration within three (3) business days of submission. Where two participants register the same owner, the earlier timestamp prevails.

2. Your relationship stays yours. We never contact your client without your permission, and you are copied on every communication with them.

3. Who can participate. The program is open to any person or business, except those holding a decision-making or position-of-trust role in relation to the referred property or its owner. This includes, without limitation, condominium board members, building administrators, and anyone involved in selecting or overseeing management providers for that property. If your relationship with the owner could give rise to a conflict of interest, tell us at registration. Vivo will assess the situation and may accept the referral without a fee, or decline it.

4. Compensation. If an owner you refer signs a management agreement with Vivo, you receive a one-time referral fee of US$500 per property. The fee is paid by the Vivo entity that signs the management agreement. It is paid within thirty (30) days of the end of the month in which the property completes its first paid guest stay, and is subject to applicable tax withholding and to your provision of any required tax documentation. No further fee is payable in respect of that property. This fee is paid for an introduction only. It is not a commission on a sale or lease and is not contingent on any real estate transaction. If you hold a real estate license, you are responsible for complying with your brokerage's policies on outside compensation, including any requirement that the fee be routed through your brokerage. Tell us at registration if payment should be directed to your brokerage rather than to you.

5. Registration period. A referral is registered to you for six (6) months from the date of submission. If the registration expires without a signed management agreement, no fee is payable and the registration simply lapses. Where an owner is bound by an existing exclusive management contract at the time of referral, Vivo may extend the registration period in writing.

6. Acceptance is at Vivo's discretion. Vivo may decline any referral, including where the property does not meet our intake criteria or falls outside our service areas. Registration of a referral does not oblige Vivo to make a proposal or to accept the property under management.

7. Owner consent and confidentiality. By registering a referral you confirm that the owner has agreed to their details being shared with Vivo for this purpose. Owner details are used solely to prepare a proposal and to manage the property if appointed. They are never sold or shared with third parties.

8. Independent parties. Nothing here creates an employment, agency, or partnership relationship between you and Vivo. Either party may end this agreement in writing at any time. Referrals already registered at the time of termination continue to be honored under clause 4.

9. Acceptance of these terms. By submitting the referral form you accept this agreement in the version in force on the date of submission. Vivo may amend the program at any time; referrals already registered are governed by the version in force when they were registered.

10. Governing law and language. Referrals of properties in the Dominican Republic are governed by the laws of the Dominican Republic. Referrals of properties in the United States are governed by the laws of the State of Florida. This agreement is issued in Spanish and in English. In the event of any discrepancy, the Spanish version prevails.
